THE PROBLEM

Australian directors are increasingly exposed to personal liability in the aftermath of cyber incidents.

ASIC has made clear that cyber security is a board governance obligation, not a management one. The Privacy and Other Legislation Amendment Act 2024 and the Security of Critical Infrastructure Act impose specific duties on organisations — and by extension, on the directors responsible for overseeing them. When a breach occurs and those obligations have not been met, it is directors who face regulatory scrutiny, shareholder claims and reputational consequences.
